Romeros unload stake in AirAsia Philippines to focus on power, ports business
The Romero-led F&S Holdings, Inc. sold its shares in AirAsia Philippines to focus in other sectors such as power and ports.
The firm, owned by 1-PACMAN party-list Representative Michael "Mikee" Romero and wife Sheila, sold its shares to AA Com Travel Philippines, Inc., making it the sole local owner and majority shareholder of the airline.
"We are excited at the opportunity to consolidate our business enterprises, and realign them to focus more on our core businesses in power and ports,” Sheila Romero, who serves as chairman of F&S Holdings, Inc., said in a company statement.
“Needless to say, we did not want to undertake this while the pandemic was ongoing, and nearly every business – particularly air travel – was severely hampered. That would not embody the kind of relationship we had with our partners,” she added.
Romero also wished nothing but the best for AirAsia Philippines, saying that they want to see it "fly high and reach new heights."
Meanwhile, the CapitalOne Energy Corp. will be the holding company to integrate the Romero group’s power generation companies.
These will include investments in the Renewable Energy Sector through ADSI, a 40MW Solar Power Plant operating in Digos, Davao del Sur, and Fort Pilar Energy, which operates a total of 100MW Battery Energy Storage System Power (BESS) Plants in Zamboanga del Sur.
CapitalOne Energy is currently expanding its solar power portfolio with the development of new sites in the provinces of Cagayan, Nueva Ecija, Batangas, Marinduque and Palawan.

Aboitiz Group takes control of AirAsia Philippines
MANILA, Philippines — After acquiring the operations of the Cebu airport, the Aboitiz Group has expanded to the airline business by becoming the majority owner of low-cost carrier AirAsia Philippines.
The Aboitiz Group is spreading its wings in the aviation segment by pushing for the privatization of several airports in the regions as well as jumping on the airline competition.
Multiple sources told The STAR that the Aboitiz Group controls AA Com Travel Philippines Inc., the firm that bought a 60 percent stake in AirAsia Philippines in June.
An industry source said the Aboitiz Group made the buyout in support of its proposal to rehabilitate and upgrade the airports in Albay and Bohol. Under Aboitiz ownership, AirAsia Philippines will increase its flight routes and volumes to and from Albay, Bohol and Cebu.
Last year, Aboitiz InfraCapital Inc. (AIC) announced that it would invest at least P25 billion to take over GMR-Megawide Cebu Airport Corp., which has the 25-year concession to develop, operate and maintain the Mactan-Cebu International Airport.
AIC expects to acquire by the end of 2024 the full ownership of GMCAC from the joint venture of Megawide Construction Corp. and GMR Airports International BV.
In 2018, AIC filed an unsolicited proposal worth P148 billion to manage and sustain four airports in the regions: Iloilo International Airport, Bacolod-Silay Airport, Laguindingan Airport and the Bohol-Panglao International Airport.
AIC secured the original proponent status for the upgrade of Laguindingan Airport and is eyeing to get the same for the Bohol and Bicol airports under the Marcos administration.
According to another source, Aboitiz Group president and CEO Sabin Aboitiz talked to AirAsia CEO Tony Fernandes during the latter’s visit in the Philippines in June. There, the Aboitiz head vowed to infuse the capital needed by the airline to keep up with competitors.
The Aboitiz Group committed to inject the cash that AirAsia Philippines requires in building up its fleet. At present, the airline manages a total of 16 aircraft, all Airbus A320s.
AirAsia Philippines aims to double its fleet by 2024 and the addition of the Aboitiz Group in the mix gives it an additional source of capital.
In the future, AirAsia Philippines plans to add wide-body aircraft, particularly A330s, in its fleet to scale up the number of passengers that it can fly in one go.
Likewise, both sources confirmed that the Aboitiz Group will increase the manpower of AirAsia Philippines given the demand for additional pilots and staff to service the incoming aircraft.
In June, F&S Holdings Inc., owned by Rep. Michael Romero and his wife Sheila, announced that it sold its shares in AirAsia Philippines to AA Com Travel Philippines. The Romero family said it would focus on its ports and power investments moving forward.
With this, AA Com Travel Philippines becomes the sole local owner of AirAsia Philippines with a share of 60 percent. Capital A Berhad, led by Fernandes, holds the other 40 percent.
From a 15.7 percent ownership in AirAsia Philippines, F&S Holdings took majority ownership in 2019 when it consolidated the 28.7 percent shares of Zest-O founder Alfredo Yao and business executive Marianne Hontiveros, as well as the 15.6 percent stake of Antonio Cojuangco.
AirAsia Philippines is the third largest airline in the country, operating more than 100 flights to local destinations every day.
Based on records, the airline served 2.01 million domestic passengers and 198,093 international travelers in 2022, just behind flag carrier Philippine Airlines and low-cost operator Cebu Pacific.

She did not provide additional details on the transaction, including cost and terms, because of confidentiality agreement.
“Needless to say, we did not want to undertake this while the pandemic was ongoing, and nearly every business―particularly air travel―was severely hampered. That would not embody the kind of relationship we had with our partners,” she said.
AA Com Travel acquired the shares of F&S Holdings for an undisclosed amount, making it the sole local owner and majority shareholderof the country’s third-largest airline.
Capital A Bhd founders Tony Fernandez and Datuk Karmarudin Menarum control the remaining 40 percent of AirAsia Philippines.
“We wish nothing but the best to our former partner in AirAsia Philippines as well as to AA Com Travel Philippines. May they continue to fly high and reach new heights,” Shiela Romero said.
The budget airline earlier saw passenger volume increase 382 percent to 4.21 million in 2022 from 875,927 passengers in 2021. Its load factor rose to 89 percent from 80 percent.
AirAsia Philippines operates daily flights from Manila to Bacolod, Cebu, Cagayan, Davao, Iloilo, Kalibo, Caticlan (Boracay), Puerto Princesa, Tacloban, Tagbilaran and Zamboanga. Other interisland destinations flying out of AirAsia’s Cebu hub include Cagayan, Davao, Caticlan, Puerto Princesa and Clark.
Its active international destinations include Kuala Lumpur, Kota Kinabalu, Bangkok, Singapore, Taipei, Osaka, Incheon, Hong Kong, Tokyo and Bali.
Meanwhile, CapitalOne Energy Corp. will be the holding company to integrate the Romero Group’s power generation companies.
These include investments in the renewable energy sector through Alterpower Digos Solar Inc., a 40-megawatt solar power plant operating in Digos, Davao del Sur and Fort Pilar Energy, which operates 100-MW battery energy storage system power plants in Zamboanga Del Sur, according to CapitalOne Energy chairman lawyer Joseph Omar Castillo.
“The group likewise includes the Belgrove Power Corp., which owns the 650-MW Malaya Thermal Power Plant, a must-run unit of the Department of Energy,” Castillo said.
CapitalOne Energy is expanding its solar power portfolio with the development of new sites in Cagayan, Nueva Ecija, Batangas, Marinduque and Palawan.
Castillo said these new sites would have a combined capacity of 180 MW.
“To CapitalOne Energy Corp., may our future endeavors help power up the economy, and energize more communities in the Philippines,” Romero said.
She said CapitalOne “will continue to invest aggressively in our family’s core businesses in Globalport terminals, which now operates ten ports in the country and power businesses.”

ROMERO-led F&S Holdings Inc. sold its shares in AirAsia Philippines in a bid to boost its core businesses in power and ports.
“We are excited at the opportunity to consolidate our business enterprises, and realign them to focus more on our core businesses in power and ports,” F&S Holdings Chairman Shiela B. Romero was quoted in a statement as saying.
Romero said in the statement released last Monday the company’s 60-percent share were sold to AA Com Travel Philippines Inc., making it the sole local owner and majority shareholder of the airline. The remaining 40 percent is owned by Capital A Bhd Founders Tony Fernandez and Datuk Karmarudin Menarum.
F&S Holdings is owned by 1-Pacman party-list Rep. Michael L. Romero and his wife, Sheila.
In the same announcement, CapitalOne Energy Corp. will be the holding company to integrate the Romero group’s power generation companies Alterpower Digos Solar Inc. (ADSI) and Fort Pilar Energy Inc.
These include investments in the renewable energy Sector through ADSI, a 40-megawatt (MW) solar power plant operating in Digos, Davao del Sur, and Fort Pilar Energy, which operates a total of 100-MW battery-energy storage-system power plants in the Zamboanga Del Sur,” CapitalOne Energy Chairman Joseph Omar A. Castillo said.

F&S sells stake in AirAsia PHL
ROMERO-LED F&S Holdings, Inc. has sold its shares in AirAsia Philippines as it concentrates on its power and ports businesses, the company said on Monday.
In a press release, it said shares in the budget carrier owned by lawmaker Michael Odylon L. Romero and his wife Sheila B. Romero are to be bought by AA Com Travel Philippines, Inc.
“The sale makes it the sole local owner and majority shareholder of the country’s third-largest airline,” it said.
The remaining 40% is owned by Capital A Berhad founders Anthony Francis Fernandes and Datuk Karmarudin Menarum.
“We are excited at the opportunity to consolidate our business enterprises and realign them to focus more on our core businesses in power and ports,” said Ms. Romero, chairman of F&S Holdings.
“Needless to say, we did not want to undertake this while the pandemic was ongoing, and nearly every business — particularly air travel — was severely hampered. That would not embody the kind of relationship we had with our partners,” she added.
Meanwhile, CapitalOne Energy Corp. is set to be integrated into the Romero group’s power generation companies, which include investments in the renewable energy sector, which include Fort Pilar Energy, Inc. and Belgrove Power Corp.
CapitalOne is currently expanding its solar power portfolio with the development of new sites in Cagayan, Nueva Ecija, Batangas, Marinduque and Palawan, which will have a combined capacity of 180-megawatt-peak.
“We wish nothing but the best to our former partner in AirAsia Philippines, as well as to AA Com. May they continue to fly high and reach new heights,” said Ms. Romero.
She said the Romero group would continue to “invest aggressively” in the family’s core businesses in Globalport 900, Inc. terminals, which she said now operates 10 local ports.
When Mr. Fernandes was asked in a media roundtable on Monday regarding the ownership of the airline, he said: “Come back to me in one-and-a-half month. Ownership will be solved. It is important for the airline but we’ll make the proper announcement at the proper time.” — Justine Irish D. Tabile

F&S Holdings, the investment firm owned by Rep. Mikee Romero and his wife Sheila, has made an exit from the airline business to focus on their interests in the power and ports sectors.
The company has sold its 60 percent share in AirAsia Philippines, the country’s third-largest airline, to AA Com Travel Philippines Inc.
This makes AA Com the sole local owner and majority shareholder of the airline. The remaining 40 percent stake in AirAsia Philippines will continue to be held by Capital A Bhd founders Tony Fernandez and Datuk Kamarudin Menarum.
F&S Holdings had increased its stake in AirAsia Philippines in June 2019, acquiring additional shares from bilyonaryo Alfredo Yao and Maan Hontiveros, which raised its ownership to 44.4 percent. Later that year, the company took majority control of the airline by purchasing Antonio “Tonyboy” Cojuangco’s 15.6 percent stake, bringing its ownership to 60 percent.
According to F&S Holdings, the decision to exit AirAsia Philippines was a well-planned and amicable one, pointing out that they had to wait until the ongoing pandemic and its impact on the air travel industry had subsided.
Sheila, chairman of F&S Holdings, said the company is now excited about consolidating its business enterprises and refocusing on core operations in the power and ports sectors.
CapitalOne Energy Corp. will serve as the holding company for integrating the Romero group’s power generation companies, including investments in the renewable energy sector through ADSI, a 40-megawatt solar power plant in Digos, Davao del Sur, and Fort Pilar Energy, which operates 100-MW battery energy storage system power plants in Zamboanga Del Sur.
The group also owns Belgrove Power Corporation, which possesses the 650-MW Malaya thermal power plant.

Aboitiz, AirAsia deny report of buyout
LISTED company Aboitiz Equity Ventures (AEV) on Monday, July 3, 2023, denied that it had bought a majority stake in the low-cost carrier AirAsia Philippines and emphasized that any such developments would be properly disclosed through official channels. “We would like to clarify and state that this information is not true and accurate. At this time, we are actively verifying the sources that led to the publication of this article and have requested that the article be taken down,” AEV said in a statement. According to a report by The Philippine Star on Monday, the Aboitiz Group was said to control AA Com Travel Philippines Inc., the firm that allegedly acquired a 60 percent stake in AirAsia Philippines in June, based on multiple sources. The report also mentioned that an industry source claimed the Aboitiz Group made the buyout in support of its proposal to rehabilitate and upgrade the airports in Albay and Bohol. In a separate statement, AirAsia Philippines denied the report. “It has come to our attention that a leading news organization published an article today stating AirAsia Philippines is now majority owned by the Aboitiz Group. We hope to clarify that this statement is not true and accurate,” the AirAsia said. Malaysian aviation company Capital A has reportedly reactivated plans to publicly list Philippines AirAsia (Z2, Manila Ninoy Aquino International ) after finalising the purchase of a 60% stake from Michael and Shiela Romero earlier this year.
When Capital A subsidiary AA Com Travel Philippines Inc acquired the Romero's shareholding in early June, Capital A CEO Tony Fernandes said an IPO had been under discussion but was not on the short-term agenda because of market volatility. Instead, he pledged to invest USD1 billion to grow the LCC.
However, in late November, Capital A told Reuters it was exploring financing options for Philippines AirAsia and Indonesia AirAsia , including a potential "near term" IPO for Philippines AirAsia.
After taking full ownership, Fernandes said he would double the airline's 25-strong A320-200 fleet and add A330 widebodies. The LCC flies to 26 destinations in nine countries, including China, Thailand, Hong Kong, Taiwan, Malaysia, Macao, Japan, and South Korea.
